Client Authorization & Engagement Agreement
The following Master Terms & Conditions form an integral part of the Invoice and constitute the complete Engagement Letter and Service Agreement between GSTC INDIA GROUP and the Client. Linked Company, Trade Names & Professional Consultants. Kindly read these terms carefully.
1. Client Acceptance, Authorization & Engagement
These Master Terms & Conditions form an integral part of the Invoice and constitute the complete Engagement Letter and Service Agreement between GSTC INDIA GROUP and the Client. By requesting, assigning, instructing, confirming, or authorizing any service through any mode whatsoever—including but not limited to personal visits, telephone calls, WhatsApp, Email, SMS, online portals, submission of documents, sharing of information, making any payment (full or partial), providing OTP, Aadhaar authentication, or DSC authentication—the Client engages GSTC INDIA GROUP and is deemed to have read, understood, accepted, and agreed to be legally bound by these Terms & Conditions without requiring any separate physical signature.
2 Scope of Professional Engagement
The professional fees mentioned in the Invoice are strictly limited to the specific services described therein. Unless expressly agreed upon in writing, the scope of engagement shall NOT include:
Departmental Notices, Show Cause Notices, or Queries
Scrutiny, Assessment, Audit, or Investigation
Appeals, Rectifications, or Hearings
Litigation or Representation before Government Authorities
Advisory services beyond the assigned work or any additional subsequent compliance
Any such subsequent requirements arising after the completion of the filing or registration shall constitute a separate professional engagement and will be billed separately.
3 Government Approvals & Technical System Disclaimers
3.1 Government Discretion: GSTC INDIA GROUP acts solely as a professional service provider. Execution, processing time, final approval, registration, amendment, certificate issuance, or cancellation of all services are at the absolute and sole discretion of the respective Government Departments. GSTC INDIA GROUP neither guarantees approvals nor undertakes any responsibility for the time taken by any Government Authority.
3.2 Portal Outages & Technical Failures: GSTC INDIA GROUP shall not be held liable for any late fees, penalties, interest, application rejections, or business losses caused by technical application or circumstances beyond its reasonable control, including but not limited to the following consultations, discussions, meetings, or chat messages shall not constitute advice unless confirmed on invoice:
Government portal downtimes (e.g., GSTN, Income Tax Portal, MCA, UIDAI)
Aadhaar authentication or DSC malfunction/failure
OTP delivery delays or failures
Banking, payment gateway, internet interruptions, or cyber incidents
4 Client Responsibilities & Declarations
4.1 Authenticity of Data: GSTC INDIA relies entirely on the financial and other data, bills, books of account, statements, and documents provided by the Client. The Client bears absolute and sole responsibility for the authenticity, legality, correctness, and completeness of the data. GSTC INDIA has no obligation to independently verify the authenticity of the submitted documents unless specifically engaged in writing to do so.
4.2 Client Cooperation & Timely Compliance: The Client must promptly provide all necessary documents, clarifications, approvals, OTPs, and authentication details within the prescribed time limits. GSTC INDIA is not responsible for any delay, rejection, penalty, or adverse consequence resulting from the Client's failure to cooperate in a timely manner.
5 Client Indemnity & Anti-Fraud
The Client agrees to fully indemnify, defend, and hold harmless GSTC INDIA ANY, its proprietor, employees, customers, consultants, advisors, and authorized representatives against any claim, demand, tax liability, penalty, interest, prosecution, legal proceeding, loss, or expense (including without limitation reasonable legal expenses) arising directly or indirectly from:
Incorrect, false, fabricated, or concealed information
Forged or manipulated documents and fake invoices
Suppression of facts or any fraudulent, fraudulent or fraudulent activity
Breach of any statutory law or non-compliance by the Client
GSTC INDIA reserves the absolute right to refuse, suspend, or terminate any engagement if it reasonably believes the Client is attempting to use the services for unlawful or fraudulent purposes.
6 Professional Fees, Payment Terms & Default
6.1 Exclusions from Professional Fees: Unless expressly stated in writing, the invoiced professional fee does not include Government fees, statutory charges, portal charges, stamp duty, DSC charges, Aadhaar authentication charges, third-party expenses, or out-of-pocket travel and legal representation expenses.
6.2 Strict Non-Refund Policy: All consultation charges, professional fees, Government fees, third-party expenses, and advances are strictly non-refundable once work has commenced. This applies irrespective of application approval or rejection, cancellation, or discontinuation of services.
6.3 Payment Terms & Penalties: All amounts are stated in Indian Rupees (INR). If the full invoice amount is not received within fifteen (15) days from the invoice date, a delayed payment interest at the rate of 18% per annum shall accrue on the outstanding balance until full realization. GSTC INDIA reserves the discretion to charge all payments and to suspend or withhold services until full payment is received.
7 Limitation of Liability & Professional Opinion
To the maximum extent permitted by applicable law, the aggregate liability of GSTC INDIA arising from any engagement shall not exceed the professional fee actually received for that specific assignment. GSTC INDIA shall not be liable for any direct, indirect, consequential, incidental, special, reputational, business interruption, or opportunity losses. Professional advice is based only on the information provided by the Client and law prevailing on the date of the advice. Any subsequent legal amendment, notification, circular, or judicial decision shall not automatically modify or reopen previously completed work.
8 Confidentiality, Data Privacy & Record Retention
GSTC INDIA shall maintain reasonable confidentiality, and protecting Client information, except where disclosure is required by law, a the Court, or a statutory regulator. The Client is responsible for preserving the confidentiality of original documents, books of account, and statutory records. GSTC INDIA of not provide for security is a understand a Consumer / not retention or not — for our own GSTC is for your own. GSTC INDIA is not liable for the permanent preservation or retrieval of documents after the completion of the engagement.
9.1 Jurisdiction: All services, engagements, and terms are governed by the applicable laws of India. Any legal disputes, claims, or matters arising out of or in connection with this invoice shall be subject to the exclusive jurisdiction of the competent courts in Lucknow, Uttar Pradesh.
9.2 Dispute Resolution: The parties shall endeavor to resolve disputes amicably. If any settlement is within 30 days, then in accordance with the provisions of the Arbitration and Conciliation Act, 1996, conducted by a sole arbitrator and the seat of arbitration shall be Lucknow, Uttar Pradesh.
9.3 Recovery of Outstanding Dues: Where permitted by applicable law, if GSTC INDIA is required to initiate legal proceedings for the recovery of unpaid professional fees or to defend claims arising from a breach of the above terms, GSTC India is entitled to seek recovery of reasonable legal fees, advocate fees, and litigation & out-of-pocket expenses.
10 Miscellaneous Provisions
Force Majeure: GSTC INDIA shall not be liable for delays or non-performance caused by events such as earthquake, natural disasters, pandemics, or government policies beyond its reasonable control, power failures, or internet interruptions.
Electronic Invoice & E&OE: This is a computer-generated Invoice issued electronically and does not require a physical signature. It is subject to correction at any time. It is subject to correction for any typographical errors (Errors & Omissions Excepted – E&OE).
Severability: If any provision of these Terms is declared invalid or unenforceable by a court, the remaining provisions shall continue full force and effect.
No Waiver: Failure or delay by GSTC INDIA to enforce any provision of these terms shall not constitute a waiver of any right.
Entire Agreement: This document supersedes all prior and existing oral/verbal, or written discussions, agreements, or representations and constitutes the entire understanding and agreement between the parties.
